Community Leader / Member Agreement (effective upon payment)
This Agreement is entered into by you (member) and between Briana Bender (Community Leader) and whereby Community Leader agrees to provide the following member benefits in the Conscious Storytelling Membership focusing on personal growth, artistic growth, supporting, resourcing and career advancement.
A. Description of Conscious Storytelling: We are a networking/support group fostering storytelling for personal, artistic, and professional growth. We support and resource each other at every stage of our journeys.
B. Description of Community Leader: Founder of the Conscious Storytelling group and platform who develops the vision and structure for the group and facilitates participation among members to achieve that vision. Member understands that Community Leader is not an instructor, coach, or mental health professional. This is also not a legal, business, or employment contract.
C. Description of Member: A member is an active participant in the group, here to learn, grow, and support others with our shared passions.
D. Member further acknowledges that he/she may terminate or discontinue their participation in the group at any time.
E. Member understands that this group does not diagnose or treat any disorder, nor does it guarantee success in the film industry. While we are here to inspire and support, progress depends on Member’s individual effort. Should Member need any resources provided by mental health, coaching, legal, or business professionals, it is his/her responsibility to seek these resources. Conscious Storytelling helps to connect members to such resources.
F. Schedule and Fees
Membership begins upon the date of payment for $25 a month for one year. The group will meet bi-monthly.
G. Confidentiality
This membership is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of
any legally recognized privilege. While online meetings are recorded and posted in the private FaceBook group, Community Leader agrees not to publicly disclose any information pertaining to the member without the member’s written consent. Confidential Information does not include information that: (a) was in the Community Leader’s possession prior to its being furnished by the member; (b) is generally known to the public or in the member’s industry; (c) is obtained by the Community Leader from a third party, without breach of any obligation to the member; (d) is independently developed by the Community Leader without use of or reference to the member’s confidential information; or (e) the Community Leader is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to the Community Leader and as a result of such disclosure the Community Leader reasonably believes there to be an imminent or likely risk of danger or harm to the member or others; and (g) involves illegal activity. Member also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with the Community Leader in a timely manner.
H. Release of Information
The Community Leader engages in training and continuing education. Topics may be anonymously and hypothetically shared with mentors for training, supervision, mentoring, evaluation, and professional development.
I. Termination
Either the member or Community Leader may terminate this Agreement at any time with one week written notice. Member agrees to compensate the Community Leader for all services rendered through and including the effective date of termination of the membership.
J. Limited Liability
Except as expressly provided in this Agreement, the Community Leader makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the services negotiated, agreed upon and rendered. In no event shall the Community Leader be liable to the member for any indirect, consequential or special damages. Notwithstanding any damages that the member may incur, the Community Leader’s entire liability under this Agreement, and the member’s exclusive remedy, shall be limited to the amount actually paid by the member to the Community Leader under this Agreement for all services rendered through and including the termination date.
K. Entire Agreement
This document reflects the entire agreement between the Community Leader and the member, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Community Leader and the member.
L. Dispute Resolution
If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the
member and Community Leader agree to attempt to mediate in good faith for up to (certain amount of time such as 30 days) after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.
M. Severability
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
N Waiver
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
O. Applicable Law
This Agreement shall be governed and construed in accordance with the laws of the State of California without giving effect to any conflicts of laws provisions.
P. Binding Effect
This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
